Scope of Services
Digova provides a range of services, including but not limited to:
- Shopify Services
- Website audits, theme selection and implementation, and store optimization.
- Website Design and Development
- Custom website creation, redesigns, and ongoing maintenance.
- Graphic Design
- Logos, branding, and custom artwork for digital and print use.
- Search Engine Optimization (SEO)
- On-page and off-page optimization to improve search rankings.
- Content Creation
- Blog writing, copywriting, and content strategies tailored to your business.
- Digital Marketing
- Social media management, email marketing, and paid ad campaigns.
- Brand Strategy
- Comprehensive branding solutions to enhance your market presence.
- Consultation Services
- Strategic advice on digital transformation and design.
- Payment Schedule:
- Payments are due in accordance with the specific agreement for each project.
- Initial deposits or upfront payments may be required before work commences.
- Late Payments:
- Late payments may incur additional fees as outlined in the invoice.
- Method of Payment:
- Payments can be made via e-transfer, credit card, or other methods agreed upon in writing.
Ownership and Intellectual Property
- Deliverables:
- All deliverables become the exclusive property of the client upon full payment.
- Until payment is complete, all materials remain the intellectual property of Digova.
- Portfolio Use:
- Digova reserves the right to showcase completed work in its portfolio unless the client explicitly requests otherwise in writing.
Revisions and Changes
- Revisions:
- Each service includes up to two rounds of revisions unless otherwise stated.
- Additional revisions will be billed separately.
- Scope Changes:
- Any changes beyond the agreed-upon scope will require a new agreement and may result in additional charges.
Confidentiality
- Client Information:
- All information shared by the client is confidential and will not be disclosed to third parties without prior consent.
- Use of Information:
- Information will be used solely to fulfill contractual obligations.
Termination
- Termination by Either Party:
- Either party may terminate the agreement with 7 days’ written notice.
- Compensation Upon Termination:
- The client will be invoiced for completed work up to the date of termination.
- Digova retains ownership of all incomplete work unless otherwise agreed upon.
Liability and Indemnification
- Limitation of Liability:
- Digova is not liable for indirect, incidental, or consequential damages arising from the use of deliverables.
- Client Responsibility:
- The client is responsible for the appropriate use of the deliverables and compliance with applicable laws.
Independent Contractor Relationship
- Status:
- Digova operates as an independent contractor and is not an employee of the client.
- Taxes:
- The client is not responsible for Digova’s taxes, insurance, or statutory obligations.
Dispute Resolution
- Negotiation First:
- Any disputes will first be addressed through good-faith negotiation.
- Mediation/Arbitration:
- If unresolved, disputes may be referred to mediation or arbitration in accordance with the laws of Ontario, Canada.
Force Majeure
- Unforeseen Events:
- Neither party shall be held liable for delays or failures caused by circumstances beyond their reasonable control, such as natural disasters, government actions, or labor disputes.
Governing Law
This agreement is governed by the laws of the province of Ontario, Canada.
Entire Agreement
These Terms of Business, along with any project-specific agreements, represent the entire agreement between the parties. Any amendments must be made in writing and signed by both parties.
